1. Agreeing to these terms
These terms are an agreement between Actwithmeraki (“we”, “us”) and you. They cover the Launcher website, app and related services (the “Service”). By creating an account or using the Service, you accept them. If you use the Service for a company or client, you confirm you’re allowed to accept these terms for them, and “you” means that organization.
If we’ve signed a separate written agreement with you, it takes priority where it differs from these terms.
2. What the Service does
Launcher creates and manages Meta (Facebook and Instagram) ads in ad accounts you connect, using the creatives, copy and settings you provide. It also shows results, suggests changes, sends alerts and works with tools you connect, such as Google Drive, Slack and AI assistants.
We improve the Service over time, so features may change. We won’t remove a core feature you’re paying for in the middle of a billing period without reasonable notice, unless we have to for security, legal or Meta-platform reasons.
3. Your account
- You must be 18 or older and give us accurate details.
- You’re responsible for everyone in your workspace and everything done through it. Choose roles carefully: admins can connect Facebook, change billing and manage the team.
- Keep your email account secure, because it’s how you sign in. Tell us straight away if you think someone has accessed your account without permission.
- Only connect ad accounts, Pages, Instagram accounts and files you’re authorized to use.
4. Your content and your ads
You own everything you upload or create in the Service: creatives, copy, templates, settings and the data from your connected accounts (“Your Content”). You give us permission to store, copy, process and send Your Content only as needed to run the Service for you, keep it secure and meet legal obligations. This permission ends when Your Content is deleted, except for copies in backups until they expire. We don’t use Your Content to train AI models, show it to other customers, or use it in our own marketing without your permission.
You’re responsible for your ads: their content, targeting, budgets, landing pages and results, and for following Meta’s Advertising Standards and the law. You confirm you have the rights to everything you upload, including people’s images and any creator content used in partnership ads.
5. Meta and other connected services
We connect to Meta and other services through their official APIs. They control their own platforms, including ad review, account restrictions, policy enforcement and API availability, and they can change them at any time. We aren’t responsible for their decisions or outages, but we are responsible for the Service carrying out your instructions correctly. Launcher isn’t affiliated with or endorsed by Meta.
Ads created through Launcher start paused unless you choose otherwise. Once an ad is live, it runs and spends in your ad account under Meta’s terms. Canceling Launcher, or disconnecting Facebook, doesn’t pause or delete ads already in Meta.
6. Recommendations and AI assistants
Recommendations (such as raising a budget or pausing an ad) are suggestions based on your results. They aren’t guaranteed to improve performance, and nothing changes in Meta until you click to apply it. If you connect an AI assistant, it can act in your workspace with your access key, so check what it does and revoke keys you no longer use.
7. Acceptable use
You agree not to:
- break the law, Meta’s policies, or anyone else’s rights;
- run misleading, fraudulent, discriminatory or prohibited ads;
- access accounts or data you aren’t authorized to use;
- upload malware, probe or overload the Service, or get around its limits or security;
- copy or reverse engineer the Service, except where the law allows; or
- resell the Service, except by managing ads for your own clients.
8. Plans, trial and payment
- New workspaces get a 3-day free trial when they choose a plan and add a card. The card is charged when the trial ends unless you cancel before then. Each workspace gets one free trial.
- Paid plans are billed monthly in advance through Stripe and renew automatically until canceled. Prices exclude taxes, which are added where required.
- You can cancel anytime in the billing portal. You keep access until the end of the period you paid for. Payments aren’t refunded except where the law requires or we say otherwise.
- We may change prices with at least 30 days’ notice. The new price applies from your next renewal after the notice period.
- If a payment fails, Stripe retries it for a while. If it still can’t be collected, the subscription ends and launching stops until you choose a plan again.
9. Confidentiality
We each keep the other’s non-public information confidential, use it only for the Service, and share it only with people and providers who need it and are bound to keep it confidential. This doesn’t cover information that’s public, already known, received lawfully from someone else, or developed independently, or that the law requires to be disclosed.
10. Privacy and data protection
Our Privacy Policy explains how we handle personal data. Our Data Safety page and DPA describe our security, our subprocessors, and the terms we follow when we process personal data for you. The DPA is part of these terms.
11. Our property and your feedback
We own the Service, its software and its design. While your subscription is active, you may use the Service under these terms. If you send us ideas or feedback, we can use them freely, but that doesn’t give us any rights to Your Content.
12. Suspension and ending
You can stop using the Service and cancel at any time. We may suspend or end access if you seriously or repeatedly break these terms, don’t pay, create a security risk, or if the law or Meta requires it. Where we reasonably can, we’ll warn you first and give you a chance to fix the problem.
When your account ends, you can ask us to export or delete Your Content. Sections that should naturally continue after the end (such as payment, confidentiality, ownership, liability and disputes) do.
13. Warranties
We’ll provide the Service with reasonable skill and care. If it doesn’t work as described, tell us and we’ll try to fix it. If we can’t, you can cancel and get a refund for the unused part of the period you paid for.
Apart from that, and as far as the law allows, the Service is provided “as is”. We don’t promise it will be uninterrupted or error-free, that ads will be approved, or any particular ad results.
14. Liability
As far as the law allows, neither of us is liable for indirect or consequential losses, or for lost profits, revenue, ad spend, data or goodwill. Each party’s total liability under these terms is limited to the amount you paid us in the 12 months before the event that caused the claim (or US$100 if you haven’t paid anything).
These limits don’t apply to fraud, willful misconduct, your payment obligations, a party’s misuse of the other’s intellectual property, or anything that can’t be limited by law. Nothing in these terms limits rights you have as a consumer that can’t be waived.
15. Claims by others
You’ll defend us against claims by third parties arising from your ads, Your Content or your breach of these terms, and cover the resulting costs. We’ll do the same for you against claims that the Service itself (not Your Content or how you used it) infringes someone’s intellectual property. The party being protected must tell the other promptly and let them handle the defense, and no settlement may admit fault for the other party without their agreement.
16. Changes to these terms
We may update these terms. For significant changes, we’ll email account owners at least 30 days before they take effect, unless a change is needed sooner for legal, security or Meta-platform reasons. Changes don’t apply to anything that happened before them. If you don’t agree, you can cancel before they take effect.
17. General
You may not transfer these terms without our agreement; we may transfer them as part of a merger or sale of our business. Neither of us is responsible for delays caused by events outside our reasonable control. If part of these terms can’t be enforced, the rest still applies. Not enforcing a term straight away doesn’t mean we give it up. These terms, the Privacy Policy and the DPA are the whole agreement about the Service unless we sign something else.
